In no event shall we, our subsidiaries, employees, contractors, suppliers, or manufacturers be liable for lost profits or any special, incidental, consequential or multiplied damages arising out of or in connection with our site, our products or services, or this agreement (HOWEVER ARISING, INCLUDING NEGLIGENCE), including, but not limited to, loss of profits, loss of use or other economic damages, even if advised of the possibility of such damages, or any failure to realize any specific benefit or health-related outcome. This limitation of PuraDyme LLC.ʼs liability will apply regardless of the form of action, whether in contract, tort or by statute. Our liability, and the liability of our subsidiaries, employees, contractors, suppliers, and manufacturers, to you or any third parties, in any circumstance, is limited to the greater of (a) the amount of the purchase or (b) one hundred ($100) dollars. Customer acknowledges that this limitation of liability is part of the consideration of this agreement, and was specifically included by PuraDyme LLC. in the calculation and establishment of the prices paid by customers, which, but for this limitation, would have been much higher. No action, regardless of form, arising out of your use of this website, any information contained therein, and/or any PuraDyme LLC. products may be brought by you or PuraDyme LLC. more than one (1) year following the event which gave rise to the cause of action.

PART 4: INDEMNIFICATION

You agree to indemnify and hold us and (as applicable) our parent, subsidiaries, affiliates, officers, directors, agents, and employees, harmless from any claim or demand, including reasonable attorneys’ fees, due to or arising out of your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party. CUSTOMER SHALL ALSO INDEMNIFY AND PAY TO THE PURADYME LLC, AS WELL AS HOLD PURADYME LLC HARMLESS AGAINST ANY AND ALL LOSSES, CLAIMS, DEMANDS, LIABILITIES, ATTORNEYS’ FEES, OR ANY OTHER EXPENSES WHATSOEVER WHICH PURADYME LLC. MAY AT ANY TIME SUSTAIN, INCUR, OR BE PUT TO BY REASON OF, OR IN CONNECTION WITH, ITS PERFORMANCE UNDER THIS AGREEMENT, OR YOUR USE OF THE APPLICABLE WEBSITES, INCLUDING, BUT NOT LIMITED TO, THOSE ARISING FROM PURADYME LLC.ʼS SOLE OR COMPARATIVE NEGLIGENCE.

PART 5: LEGAL COMPLIANCE

You shall comply with all applicable domestic and international laws, statutes, ordinances and regulations regarding your use of our website, goods and/or services.

PART 6: NOTICES

Except as explicitly stated otherwise, any notices shall be given by certified postal mail, return receipt requested, to PuraDyme LLC,14 Enzyme Lane Kettle Falls, WA 99141 (in the case of PuraDyme LLC.) and to the address you provide to PuraDyme LLC. during the purchase process (in your case). Notice shall be deemed given three (3) days after the date of mailing.

PART 7: ARBITRATION

Any legal controversy or legal claim arising out of or relating to this Agreement or our goods and/or services, excluding legal action taken by PuraDyme  to collect our fees and/or recover damages for, or to obtain an injunction relating to, PuraDyme . website operations and intellectual property, shall be settled by binding single-arbitrator arbitration in accordance with the Commercial Arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in Colville, Washington, and judgment on the arbitration award may be entered into any court having jurisdiction thereof. PuraDyme  may seek any interim or preliminary relief from a court of competent jurisdiction in Colville, Washington necessary to protect the rights or property of PuraDyme , pending the completion of arbitration. Should either party file an action contrary to this provision, the other party may recover attorney’s fees and costs up to one thousand ($1000.00) dollars. Parties agree that the Federal Arbitration Act, the United Nations Convention for the Enforcement of Commercial Arbitration Awards, and all other applicable laws and conventions apply to this agreement.

 Ordering  Online 

When visiting PuraDyme online at www.puradyme.com you are doing business with a separate store, and this online store may have different promotions, prices, etc..  Website orders are considered to be an ‘order request’; and the processing of each online ‘order request’ and related transaction(s) will be dependent on PuraDyme’s Head Office approval. PuraDyme holds the right to cancel or deny any order request for any reason, coming from it’s website or any other affiliated websites.

All personal information provided online is protected by 1024 bit encrypt SSL certificate.  This is the same level of protection used by banks across the country; feel safe when shopping with PuraDyme.

Payment Methods

Payment methods available include:

All orders must be pre-paid.  PuraDyme will not ship an order until payment has been received.  PuraDyme does not accept or accommodate alternative payment options, such as accounts receivable.

Taxes

PuraDyme is required to charge TAX on all goods sold to any customer unless the products are specifically labeled as tax free, or customer has a government issued Tax Exempt status.

Shipping Policy

At PuraDyme, we want to ensure that your shopping experience is as clear and straightforward as possible. Please take a moment to review our shipping policy, including the important FOB Origin details.

1. Safe and Secure Delivery Location

It is the sole responsibility of the purchasing party (referred to as "Customer" henceforth) to ensure that the delivery location specified for the product(s) is safe and secure. PuraDyme operates as an FOB Origin company, which means that ownership and responsibility for the goods transition to the Customer at the point of origin, typically when the products are loaded onto the carrier at our location. As a result, the Customer is responsible for all shipping costs, insurance, and any associated risks during transit from our premises onward.

2. Liability

PuraDyme shall not be liable for any loss or damage whatsoever, including but not limited to:

  • Loss of earnings
  • Consequential damages
  • Loss of profits
  • Loss of business opportunities
  • Any other indirect, special, or incidental damages

These exclusions apply to any loss, damage, or inconvenience caused by, or arising out of:

a. Delay in Delivery: PuraDyme will make every effort to ensure timely delivery of products. However, delays may occur due to factors beyond our control, such as weather, traffic, or other unforeseen circumstances. We do not guarantee delivery dates and times.

b. Error in Product Shipped: While we make diligent efforts to ship the correct products, errors can occasionally occur. In such cases, please refer to our Return and Exchange Policy for the appropriate steps to resolve the issue.

c. Failure to Deliver a Product Ordered: If a product is not delivered to the Customer due to incorrect shipping information provided by the Customer or other issues outside of PuraDyme's control, the Customer is responsible for any associated costs and should contact our customer support team for assistance.

3. Independent Couriers

PuraDyme contracts with independent courier services to provide delivery services on behalf of our Customers. These couriers are not employees of PuraDyme but are selected for their reliability and professionalism. Any issues arising from courier shipments, including lost packages, damages, or delivery disputes, should be directed to and handled through the respective carrier's customer service channels.

PuraDyme will not be liable for any loss or damage whatsoever, including and without limitation loss of earnings or any consequential damages caused by, or arising out of: any delay in delivery, error in product shipped, or failure to deliver a product ordered by a customer. Couriers are independent contractors and are hired by PuraDyme to provide a delivery service on your behalf. Any issues resulting from couriers shipments should be brought up and handled through the carrier.

4. Shipping Confirmation

Once your order is shipped, you will receive a shipping confirmation email that includes tracking information. It is the Customer's responsibility to monitor the tracking status and ensure someone is available to receive the package at the specified delivery location.

5. International Shipping

For international orders, additional customs duties, taxes, or fees may apply. These charges are the sole responsibility of the Customer and are not included in the product price or shipping fees.

6. Changes to Shipping Policy

PuraDyme reserves the right to modify or amend this Shipping Policy at any time. Any changes will be effective immediately upon posting the revised policy on our website.

Back-Order Policy for Out of Stock Items

At PuraDyme, we are dedicated to providing you with top-quality products and exceptional service. Occasionally, circumstances beyond our control, such as high demand or supply chain disruptions, may lead to certain products becoming temporarily out of stock. In such instances, we have implemented a back-order system to ensure you receive the items you desire as soon as they become available.

Back-Order Placement:

  1. If a product that is guaranteed to be available is temporarily out of stock, PuraDyme will automatically place the item on back-order for you.

 

Payment for Back-Order Items:

  1. To secure your spot in the priority queue for when stock becomes available, all back-ordered items must be pre-paid.

 

Automatic Back-Order Fulfillment:

  1. Once the back-ordered items are back in stock, they will be automatically shipped to you without any additional shipping charges unless you instruct us otherwise. 

 

 Cancellation or Modification of Back-Orders:

  1. We value your flexibility in managing your back-ordered products. If you wish to cancel back-ordered items or request that they no longer be included with your order, please send us an email indicating your preferences, as per our backorder policy.
  2. Any changes or modifications to your back-ordered items must be made prior to the shipment being shipped. Once the order is in transit, it is accepted as fulfilled.
  3. Changes or cancelations after the automatic shipment of a backorder will be handled under our product return policy. 

 

Items Unavailable for Back-Order:

  1. In rare circumstances where an item cannot be temporarily supplied by the manufacturer, such items will not be placed on back-order. Customers will need to re-order these items once they become available.

PART 9: MISCELLANEOUS

This Agreement contains the entire agreement of the parties. This written agreement supersedes any and all oral negotiations and/or representations of the parties hereto made in relation to this transaction. This agreement neither confers nor creates any rights or responsibilities not specifically enumerated herein.

This Agreement shall be subject to and governed by the laws of the State of Washington, with the exception of its conflict of laws provisions.

Any waiver or forbearance by PuraDyme LLC. of any breach (by Customer) of any provision of this Agreement shall not be construed as a waiver of any subsequent breach by Customer.

This Agreement shall be binding upon the parties and their executors, administrators, successors, and assigns.

If any provision of this Agreement is held illegal, invalid or unenforceable, such illegality, invalidity, or unenforceability will not affect any other provision hereof. Such provision and the remainder of this Agreement shall, in such circumstances, be deemed modified to the extent necessary to render the remaining provisions enforceable.

PART 11: SHIPPING & DELIVERY

1. Order Processing Time

We make every effort to process and ship all orders from our warehouse within 2-3 business days from the time the order is placed. For orders placed between Friday afternoon and Sunday, please expect shipping within two to three business days of the following week. Our commitment is to get your products to you as swiftly as possible.

 

Shipping Charges

At PuraDyme, we have simplified our shipping rates for online retail sales by offering flat rates. Our flat-rate shipping is designed to provide you with cost-effective and straightforward pricing. In many instances, the actual cost of shipping may exceed the flat rate we charge, making it a cost-effective choice for you. Our goal is to ensure your shipping experience is both convenient and budget-friendly.

Please note that these flat rates do not apply to Wholesale accounts. Wholesale accounts will be charged the actual shipping cost by the courier, as the flat rates are exclusive to retail customers. PuraDyme LLC. is the sole owner of the information collected. We will not sell, share or rent this information to others in ways different from what is disclosed in this statement. Our Web sites are designed with numerous precautions to protect usersʼ information. Customer information is appropriately protected in-house as well as online. Sensitive information (such as a credit card account number) is protected by Secure Socket Layer encryption. While on a secure page, such as an order form, the lock icon at the bottom of a webpage becomes locked, rather than open (or unlocked) as when the user is simply “surfing” the Web. In addition, access to users’ information is restricted within our offices. Only employees who need the information to perform a specific job are granted access to personally identifiable information. All employees are kept up-to-date on our security and privacy practices. Finally, the servers on which we store personally identifiable information are kept in a secure environment.

Credit Cards

PuraDyme does not store any credit cards. Our Financial Institution will protect your information in a PCI LEVEL 5 Secure Environment. Only a Token is passed between the Bank and Puradyme such as a customer number to identify which credit card is to be charged. Operators use the last four (4) digits to confirm your credit card. These 4 digits must be confirmed each and every time you order.  If customers do not wish to provide the last four (4) digits to confirm their credit card we are unable to process their order using a stored credit card payment method, and a full credit card number will need to be provided.

Cookies

To save logging in every time you visit PuraDyme we place a little text file called a ‘cookie’ on your hard drive.  It sits in your web browser directory.  A ‘cookie’ lets us store your profile information on your computer and let’s our web site retrieve it when you visit our site.  No other web site can use or view the ‘cookie’ set by PuraDyme.

Links to Other websites

Our website has ‘links’ to partners and other sites.  When you access a ‘link’ from the PuraDyme’s website, you are no longer on our site and are subject to the privacy policy of the site you ‘linked’ to.

 What Information is Available 

We balance the need for our Independent Representatives to support and communicate with their Customers and Professional Associates and the need to respect everyone’s privacy.

  • Your Rep that was involved in registering you can request contact information such as a email address or business telephone number.
  • Professional Associates or Wholesale Partners can request the contact information for their representative.

PART 13: RETURNS & REFUNDS

Return & Refund Policy (Effective as of 11/16/2023)

Thank you for choosing PuraDyme LLC. We strive to provide you with the best products and customer experience.

Returns for Unopened Items

For products purchased directly from PuraDyme LLC, we offer a hassle-free return policy for UNOPENED items. You may return such items for any reason within 30 days from the date of product arrival. Please note that a restocking fee, not exceeding 20% of the purchase price, may apply.

Special Orders: 

Orders containing 10 or more items (Bulk Orders) are considered Special Orders. Special orders may take between 3-5 days to process and will not be eligible for return unless pre-approved in writing, as we keep our inventory low to ensure the freshness of lots. 

Cancellations

Orders cannot be canceled once they have been processed. Orders placed before 3pm PST may be processed on the same day. All orders placed Monday-Friday are typically processed within 24 hours. Orders placed on the weekend are typically processed first thing Monday morning. Once your order has been processed, it is no longer eligible for cancellation and a restocking fee, not exceeding 20% of the purchase price, may apply.

Refund Process

Upon receiving and processing your returned product at our shipping facility, refunds will be issued. Typically, refunds are processed by the end of the month. Please be aware that we are unable to refund the original shipping costs, and you will be responsible for the return shipping expenses. Refunds will only cover the unopened items returned to us less the original shipping cost, and the 20% restocking fee unless waived in writing.

 

Sales Tax Refunds

Any sales tax paid on your purchase will be refunded in full.

 

Requesting a Refund

To initiate the refund process, kindly follow these steps:

  1. Obtain a refund authorization number (RA#) by contacting us at sales@puradyme.com with your return request. Please include the following information in your email:
    • Your order number
    • A list of the items you intend to return to include the lot # on the bottle
    • A brief note explaining the reason for your return (your feedback is valuable to us)

Once our team reviews your request and confirms that your return request meets the requirements of our return policy, you will receive an RA# and the shipping address where you can send your return.

PART 14: CODE OF PRACTICE

Advertising

To maintain transparency and distinction between yourself and the company, it is imperative-required that you identify yourself as an independent entity in all advertising efforts.

Advertising must adhere to the following restrictions: 

  • No Use of PuraDyme Logos: The use of any PuraDyme logos in advertising is strictly prohibited unless written permission has been obtained from PuraDyme LLC.
  • Literature and Forms: Literature or forms, whether in whole or in part, that reference Puradyme require written permission for use.
  • Catch Phrases and Slogans: The use of new catchphrases or slogans must also be accompanied by written permission from PuraDyme.
  • Unapproved Literature: Advertising materials not produced or approved by PuraDyme may not be utilized without written permission by PuraDyme.
  • Medicinal Claims: Any claims of medicinal uses or benefits for natural health products or dietary supplements are not allowed.

Business Names

The name "PuraDyme" or any derivatives thereof may not be incorporated into any business name. If a new customer has a business, both the owner's name and the business name must be included on the application.

Handling Customer  Complaints

In every case, it is important to handle each product complaint in a professional manner.  Customers who make the extra effort to resolve a problem to the customer’s satisfaction will eventually reap the rewards.

False Representation

Any customer found misrepresenting PuraDyme and its products will face the termination of their relationship with the company and potential legal action.

Retail Store Policy

While PuraDyme does not restrict the sale of its products by retail stores, all retail establishments selling the PuraDyme product line must be registered as PuraDyme Customers, purchasing directly from PuraDyme LLC.

These retail establishments must adhere to PuraDyme's suggested retail prices. Violations of PuraDyme's policies and procedures may result in termination.

PuraDyme is dedicated to making these exciting products available to as many individuals as possible and keeps a close eye on all retail outlets.

PuraDyme reserves the right to market the PuraDyme products through professional establishments. These establishments must be approved by PuraDyme and purchase all products directly through PuraDyme.  All approved professional establishments will sign an agreement to guarantee products will not be marketed for less than PuraDyme’s minimum selling price; as indicated on the minimum selling price list provided.

Exclusive Territories

PuraDyme does not designate or acknowledge 'territories' in any manner. Representatives may not imply or state that they have an exclusive territory, as doing so constitutes false representation and grounds for termination.

Do Not Make Claims!

Every customer of PuraDyme’s Program is liable for any claim made by him/herself, not specifically found in company literature. It is deemed unethical for a customer to make claims for a product that would lead the customer to believe a product will do something other than provide supplemental nutrition to the body.

Do Not Diagnose or Prescribe

No representative, customer, employee, or affiliate of PuraDyme may diagnose an illness or prescribe a cure for a disease. These actions are exclusive rights reserved for licensed health professionals. PuraDyme provides health supplements, not treatments or cures..

Importing Products

PuraDyme is the sole manufacturer and importer of its products for resale in Canada and the United States. Private importing for resale is grounds for account termination and potential legal action.

Altering or Removing Labels

Members may not alter, change, or remove labels or instructions intended by PuraDyme to accompany a PuraDyme product in any way.

False or Damaging Statements made by an PuraDyme Member

Any person associated with PuraDyme making damaging statements about: PuraDyme, PuraDyme products is grounds for immediate termination of his/her association with PuraDyme.  And in that event forfeits all benefits normally received, including any rebates paid from organizations – present or future.

Limitation of Liability

PuraDyme shall not be liable for any damage (including special and consequential damages), loss, injury, expense, or fees (including legal fees) whatsoever, suffered or incurred by any PuraDyme as a result of, or arising out of, the purchase, distribution, or sale of PuraDyme’s products or any materials or documents provided to the customer.
